Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Codú ("Company", "we", "us", or "our"), concerning your access to and use of the AI Crush / Eventson Live platform and related services (the "Platform").

You agree that by accessing or using the Platform, you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on the Platform. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.

Account Creation and Usage

Registration Requirements

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Restrictions

  1. You may only create and maintain one account on the Platform.
  2. You are prohibited from creating multiple accounts for any reason.
  3. You may not share your account credentials with any third party.
  4. You are solely responsible for maintaining the confidentiality of your account information and for all activities associated with your account.
  5. You must be at least 18 years of age or have legal parental or guardian consent to use the Platform.

Account Termination

We reserve the right to suspend or terminate your account, at our sole discretion, WITHOUT PRIOR NOTICE OR EXPLANATION, for any reason whatsoever, including but not limited to:

  1. Violation of these Terms
  2. Engaging in disruptive, harmful, or inappropriate behavior
  3. Creating multiple accounts
  4. Providing false or misleading information
  5. Inactivity for an extended period
  6. For any other reason we deem necessary to protect the Platform, other users, or our business interests

Upon termination, your right to access or use the Platform will immediately cease, and we may delete or deactivate your account and all related information and files without liability to you.

Intellectual Property Rights

Content Ownership

By submitting, posting, uploading, displaying, communicating, or otherwise transmitting any content on or through the Platform ("User Content"), you understand and agree that:

  1. All User Content becomes the sole and exclusive property of Codú, and you hereby assign all right, title, and interest in and to such User Content to Codú, including all intellectual property rights.
  2. We shall have the right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.
  3. You grant us a perpetual, irrevocable, transferable, royalty-free license to use your name, image, likeness, and voice in connection with such User Content.
  4. You waive any moral rights or other similar rights you may have in User Content.

Prohibited Content

You agree not to submit, post, upload, display, communicate, or otherwise transmit any User Content that:

  1. Infringes upon or violates the intellectual property rights of any third party
  2. Contains viruses, malware, or other malicious code
  3. Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  4. Promotes discrimination, bigotry, racism, hatred, or harm against any individual or group
  5. Is false, inaccurate, or misleading
  6. Violates the privacy or publicity rights of any third party

Conference Attendance and Participation

Access to Conference Sessions

  1. Registration and payment (if applicable) entitle you to access the specific conference sessions indicated at the time of registration.
  2. We reserve the right to modify the conference program, including speakers, topics, and schedule, at any time without prior notice.
  3. Access to certain sessions may be limited based on capacity or other factors determined by us.

Participant Conduct

All participants must:

  1. Conduct themselves in a professional and respectful manner
  2. Comply with any instructions or guidelines provided by conference hosts or moderators
  3. Refrain from disrupting sessions or other participants' experience
  4. Not record, stream, or redistribute any conference content without our express permission
  5. Abide by our Code of Conduct (if applicable)

Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy can be found here.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranty that the Platform will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or be accurate, reliable, complete, legal, or safe.

Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Platform, violation of these Terms, or violation of any rights of another.

Technical Requirements

You are responsible for providing all equipment and software necessary to access and use the Platform, including but not limited to computer, internet connection, webcam, microphone, and compatible web browser. We are not responsible for any difficulties arising from technical issues on your end.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of [ARBITRATION BODY], which rules are deemed to be incorporated by reference into this clause.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provision shall be deleted without affecting the remaining provisions herein.

Entire Agreement

These Terms constitute the entire agreement between you and us regarding your use of the Platform, superseding any prior agreements between you and us.
